SENSETIME-W (00020) has announced that all conditions under the placement agreement have been fulfilled, and the placement was completed on April 24, 2026, in accordance with the terms of the agreement. The placing agent successfully allocated a total of 1.7 billion placement shares to no fewer than six placees at a price of HK$1.91 per share. This represents approximately 4.25% of the issued B class shares and about 4.20% of the total issued share capital immediately prior to the completion of the placement. Following the allotment and issuance of the placement shares, they constitute roughly 4.08% of the enlarged issued B class shares and about 4.03% of the existing total issued share capital. The net proceeds from the placement, after deducting commissions and other related costs and expenses, amount to approximately HK$3.23 billion.
