GLOBAL NEW MAT Schedules 2026 AGM; Seeks 10% Buy-back Mandate and 20% Issuance Capacity

Global New Material International Holdings Limited (GLOBAL NEW MAT) will convene its Annual General Meeting on 26 June 2026 at 10:30 a.m. in Liuzhou, Guangxi, China. Key resolutions to be tabled include:

• Financial Statements and Governance – Shareholders will consider the audited consolidated financial statements for the year ended 31 December 2025 and the accompanying directors’ and auditor’s reports. – Six directors are up for re-election: executive director Jin Zengqin; non-executive director Hu Yongxiang; and independent non-executive directors Hui Chi Fung, Han Gaorong, Leung Kwai Wah Alex, and Chen Fadong. – Directors’ remuneration will be subject to shareholder authorisation. – RSM Hong Kong is nominated for re-appointment as external auditor, with fees to be set by the Board.

• Capital Management Proposals – Share buy-back mandate: authority to repurchase up to 10% of issued shares (excluding any treasury shares) during the mandate period. – Issuance mandate: authority to allot, issue or transfer (including treasury shares) up to 20% of issued shares, excluding rights issues, share schemes and scrip dividends. – Extension mandate: the 20% issuance limit may be increased by the number of shares actually repurchased, capped at an additional 10% of issued share capital. – All mandates run until the earlier of the next AGM, the statutory deadline for that meeting, or a shareholder resolution revoking the authority.

• Administrative Details – Shareholders of record on 26 June 2026 may attend and vote. The register of members will be closed from 23 June 2026 to 26 June 2026 (both days inclusive). – Proxy forms must reach Tricor Investor Services Limited by 10:30 a.m. on 24 June 2026.

The meeting will be chaired by Su Ertian, who serves as both Chairman and CEO.
