PCPD to Divest Japanese Eco-Hotel Midtown Niseko for $80 Million

PCPD (00432) has announced that as of the date of the announcement, the group owned and operated Midtown Niseko in Japan through a target company. On February 13, 2026, the seller, Jia Yue Investment Limited (a wholly-owned subsidiary of the company), entered into a share sale agreement with the buyer, Ryugu Holdco Pte. Ltd., among others. The agreement involves the sale of the entire issued share capital of the target company and shareholder loans for a consideration of $80 million, in accordance with the terms and conditions of the share sale agreement. The target company, Triple8 KK, is a corporation established under Japanese law. It owns and operates Midtown Niseko, an eco-hotel located at Niseko Hirafu, 4-jo 1-3-3, Kutchan-cho, Abutagun, Hokkaido, Japan. Considering recent property market conditions in Japan, the divestiture presents a timely opportunity for the group to optimize its property portfolio. By monetizing its investment in Midtown Niseko at an attractive valuation, the group will generate significant cash proceeds, thereby enhancing its financial flexibility. The board currently expects to use the net proceeds from the sale to strengthen the group's financial position. This includes (i) reducing the group's liabilities to lower ongoing borrowing costs and reallocating more resources to ongoing and potential residential projects in Japan, Thailand, and Hong Kong; and (ii) boosting working capital, covering areas such as employee costs, rent, and other indirect expenses. Consequently, this will enable the group to identify and seize other new business opportunities as they arise.
