First Service Holding Limited (2107) has announced four new agreements dated 20 November 2025, covering continuing connected transactions from 1 January 2026 to 31 December 2028. These include:

1) First Living New Energy Operation Services Framework Agreement: The expected annual caps are RMB23.0 million for each of 2026, 2027, and 2028. As the applicable percentage ratios exceed 5%, independent shareholders’ approval will be required.

2) Zhonglv Qiyuan Property Management Services Framework Agreement: The annual caps are set at RMB2.7 million per year from 2026 to 2028. The percentage ratios fall between 0.1% and 5%, requiring reporting, announcement, and annual review under Chapter 14A of the Listing Rules.

3) Super Land New Property Management Services Framework Agreement: The annual caps are RMB2.2 million for each of 2026, 2027, and 2028. These transactions also require reporting, announcement, and annual review under the Listing Rules, as the applicable percentage ratios exceed 0.1% but remain below 5%.

4) Fujian Yongfeng New Elevator System Maintenance Services Framework Agreement: The Company will purchase maintenance services with anticipated annual caps of RMB23.0 million per year from 2026 to 2028. As the percentages exceed 5%, the transaction is subject to independent shareholders’ approval, alongside additional compliance requirements.

Relevant directors have abstained from voting on each agreement in accordance with the Listing Rules. A circular, including advice from the independent financial adviser and details of the First Living and Fujian Yongfeng agreements that exceed 5%, is expected to be distributed on or before 11 December 2025. According to official statements, the Company aims to ensure stable service quality and maintain cost efficiency by entering these agreements within its ordinary and usual course of business.
