AiLife International outlines 2026 AGM agenda: 20% new share issue mandate, 10% buy-back limit, six-director rotation and auditor re-appointment

AiLife International Group Limited (formerly Ling Yui Holdings; 00784) has released its circular for the annual general meeting (AGM) to be held on 31 August 2026 in Hong Kong. Key proposals to be tabled for shareholder approval are summarised below:

General mandates • Issue mandate: Directors seek authority to allot, issue or deal with up to 20% of issued share capital (excluding any treasury shares) during the mandate period. Based on the 800.00 million shares in issue as at 3 August 2026, the cap equals 160.00 million new shares. • Repurchase mandate: The Board requests power to buy back up to 10% of issued shares, equivalent to 80.00 million shares. Repurchased stock may be cancelled or held as treasury shares in line with the amended Listing Rules (effective 11 June 2024). • Extension: A separate resolution will allow the issue mandate to be enlarged by the number of shares actually repurchased under the buy-back mandate.

Board composition • Six directors—Executive Directors Dr Xu Mingyan (Chairman & CEO), Dr Chen Shifu and Ms Wen Yuan, plus Independent Non-Executive Directors Mr Wu Di, Mr Gong Weixing and Dr Tang Yongjun—will retire by rotation and stand for re-election. • The Nomination Committee has affirmed that the three INEDs continue to meet independence criteria.

Auditor • HLB Hodgson Impey Cheng Limited is nominated for re-appointment as external auditor for FY 2026/27. Expected audit fees are forecast at HK$0.85 million–HK$0.95 million, subject to final negotiation.

Capital structure and substantial shareholding • Issued share capital stands at 800.00 million shares. • Hapbiotech Investment Holding, wholly owned by HaploX Investment, holds 560.23 million shares (70.03%). If the full 10% buy-back mandate is exercised, this interest would rise to approximately 77.81%, potentially reducing public float below the 25% Listing Rule threshold; the Board states it has no current intention to repurchase shares to such an extent.

Timetable and voting • Register of members closes 26–31 August 2026; shareholders must lodge transfers by 4:30 p.m. on 25 August 2026 to qualify to attend and vote. • Proxy forms must be submitted by 10:00 a.m. on 29 August 2026. All resolutions will be decided by poll, and any treasury shares will have no voting rights.

Share price context • Over the 12 months to July 2026, AiLife shares traded between HK$0.052 and HK$1.35. • The company made no share repurchases in the six months prior to 3 August 2026.

Shareholders are encouraged to submit questions in advance and vote on the proposed resolutions at the 31 August 2026 AGM.
