Hing Ming Holdings Limited (8425) Announces Chairman and CEO Changes

Hing Ming Holdings Limited (Stock Code: 8425) has announced that, effective 26 November 2025, Mr. Tang Hing Keung will step down as Chairman and Chief Executive Officer, while remaining an executive Director and an authorised representative of the company. According to the announcement, he has confirmed there is no disagreement with the board or any matters needing to be brought to shareholders’ attention.

The new Chairman and Chief Executive Officer, effective the same date, is Mr. Tang Ming Hei, who previously served as executive Director and compliance officer. He joined the group in April 2016 and holds a dual degree in Laws and Commerce, along with a Master of Commerce in Financial Econometrics. Mr. Tang Ming Hei also possesses professional qualifications as a Lawyer of the Supreme Court of New South Wales and is an associate member of CPA Australia. He has renewed his service contract for a term of three years, with an annual director’s fee of HK$4,200,000 and a discretionary bonus determined by the board. As of the announcement date, he holds approximately 34.1% of the issued shares of the company.

The announcement notes a deviation from code provision C.2.1 of the Corporate Governance Code, as the roles of chairman and chief executive are held by the same individual. The company cites Mr. Tang Ming Hei’s familiarity with the group’s operations as the reason for combining these roles, while emphasizing that major decisions are made in consultation with the board, supported by three independent non-executive directors.
