Khoon Group Limited (the “Company,” Stock Code: 924) has issued a notice regarding its upcoming Annual General Meeting (AGM), scheduled for 8:00 a.m. on Tuesday, 23 December 2025, at Units 5906–5912, 59/F, The Center, 99 Queen’s Road Central, Hong Kong.

Key matters to be addressed include reviewing and adopting the audited financial statements and relevant reports for the year ended 30 June 2025. Shareholders will also vote on the re-election of directors, specifically one executive director—Ms. Tseung Choi Wing Queenie—and independent non-executive directors, including Mr. Fok Wai Hung and Ms. Fang Lihua Ruby. Additionally, the Board will seek authorization to fix directors’ remuneration.

Ordinary resolutions will be proposed for general mandates related to share issuance (including handling of treasury shares), share repurchases up to 10% of issued shares (excluding any held in treasury), and an extension of the issuance mandate by adding shares repurchased under the repurchase mandate.

Shareholders planning to attend and vote at the AGM should note that the register of members will be closed from 13 December 2025 to 23 December 2025 (both dates inclusive). If Typhoon Signal No. 8 (or above), Black Rainstorm Warning, or extreme conditions arise in Hong Kong on the day of the meeting after noon, the AGM will be postponed, and further arrangements will be announced accordingly.
