SOLARTECH INT'L (01166) announced that on December 3, 2025, the company entered into a placement agreement with a placing agent. Under the agreement, the placing agent conditionally agreed to use its best efforts to place up to 23.74 million placement shares to no fewer than six placees at HK$0.37 per share. The placement is subject to, among other conditions, the approval of the listing and trading of the placement shares by the Listing Committee.

Assuming no changes in the company's issued share capital between the announcement date and the completion of the placement (other than the issuance of the placement shares), the maximum 23.74 million placement shares represent approximately 20.00% of the company's existing issued share capital as of the announcement date, and about 16.66% of the enlarged issued share capital post-placement. The total nominal value of the maximum placement shares will be HK$4.748 million.

The placement price of HK$0.37 per share represents a premium of approximately 8.82% over the closing price of HK$0.34 per share on the Hong Kong Stock Exchange on December 3, 2025. If all placement shares are successfully placed, the gross proceeds are expected to reach HK$8.7838 million, with net proceeds (after deducting all applicable costs and expenses, including placement commissions and fees) estimated at around HK$8.4838 million. This translates to a net price of approximately HK$0.357 per placement share.

The company intends to allocate the net proceeds as follows: approximately HK$5 million will be used for the repair and maintenance of the group's investment properties, with the remaining balance allocated for general working capital purposes.
