China Overseas Property to Refresh Board: Long-Serving INED Bernard Lim Retires; Appointments of Lee Chun Keung as INED and Liu Huiming as NED Set for June 2026

China Overseas Property Holdings Limited has detailed a comprehensive board reshuffle that will take effect at the conclusion of its Annual General Meeting on 17 June 2026.

Key changes 1. Independent Non-Executive Director (INED) Bernard Vincent Lim, who has served for over nine years, will retire in line with Listing Rule 3.13A. His departure also relinquishes his roles as Chairman of the Sustainability Steering Committee and member of the Audit, Nomination and Remuneration Committees. 2. Non-Executive Director (NED) Guo Lei will resign due to a realignment of work duties. 3. Lee Chun Keung will join the board as INED, become Chairman of the Sustainability Steering Committee, and sit on the Audit, Nomination and Remuneration Committees. Lee’s annual director’s fee is set at HK$0.40 million, and his appointment letter allows termination by either party with three months’ written notice. 4. Liu Huiming, currently Vice President of China Overseas Land & Investment Ltd., will be appointed as NED. Liu will not receive a director’s fee and is also subject to retirement by rotation.

Board structure and compliance • The company confirms both departing directors have no disagreements with the board and no matters require shareholder attention. • Incoming INED Lee Chun Keung has affirmed independence under Listing Rule 3.13 and holds no share interests in the company. • Both new appointees have entered open-ended appointment letters, terminable with three months’ notice, and will be eligible for re-election at future AGMs.

Governance outlook Upon completion of the 2026 AGM, China Overseas Property’s board will comprise eight directors: three Executive Directors, two Non-Executive Directors and three Independent Non-Executive Directors, maintaining compliance with Hong Kong Listing Rules on board composition and independence requirements.
