CNGR Advanced Material Co., Ltd. has issued a notice convening its 2025 annual general meeting (AGM) for 2:30 p.m. on Friday, 22 May 2026. The session will take place in the conference room on the 11th floor of Building B, Yunda Central Plaza, Yuhua District, Changsha City, Hunan Province.

1. Operating and financial reports • 2025 Annual Report, its summary and annual results • 2025 Board Work Report • Special Report on the deposit and usage of 2025 fundraising proceeds • 2025 Financial Final Accounts Report

2. Shareholder returns and remuneration • 2025 profit-distribution plan • 2025 director remuneration and the remuneration plan for 2026

3. Corporate governance matters • Special resolution to revise the Articles of Association • Ordinary resolution on updated Measures for the Administration of Remuneration of Directors and Senior Management

4. Capital management • Special resolution granting a general mandate for issuance of additional A shares or H shares

5. External audit • Re-appointment of the accounting firm for 2026 • Re-appointment of the H-share auditor

Procedural details

• The register of members will close from 19 May 2026 to 22 May 2026 (both dates inclusive). H-shareholders must lodge share-transfer documents by 4:30 p.m. on 18 May 2026 with Tricor Investor Services Limited to qualify for attendance and voting. • All resolutions will be decided by poll, and results will be published on the websites of Hong Kong Exchanges and Clearing (HKEX) and the company. • Shareholders may appoint one or more proxies; completed proxy forms must be deposited with Tricor no later than 2:30 p.m. on 21 May 2026 (Hong Kong time).
