Winson Holdings Hong Kong Limited (Winson Hldgs HK) reported that every motion tabled at its 20 August 2026 annual general meeting was approved by poll, cementing shareholder support for the group’s board, dividend policy and capital mandates.
The poll covered 600.00 million issued shares, with 435.17 million shares—representing 72.53% of total share capital—cast in person or by proxy. Key resolutions and voting outcomes were as follows:
• Financial Statements: Adoption of the audited results for the year ended 31 March 2026 received unanimous support, with 100.00% of votes in favour (435.17 million shares).
• Dividend: Shareholders backed a final dividend of HK0.8 cents (HKD0.008) per share, also with 100.00% approval.
• Board Composition and Remuneration: Re-election of Executive Director Madam Ng Sing Mui and Independent Non-Executive Directors Mr. Chung Koon Yan and Mr. Ng Moon Fai, together with authorisation for the board to set directors’ remuneration, each secured 100.00% of votes cast.
• Auditor Re-appointment: BDO Limited was re-appointed as external auditor with 100.00% support.
• Share Issuance & Repurchase Mandates: – General issuance mandate (up to 20% of issued share capital) passed with 99.99% support. – Share repurchase mandate (up to 10% of shares) received 100.00% approval. – Extension of the issuance mandate by the number of repurchased shares gained 99.99% support.
Tricor Investor Services acted as scrutineer for the poll. All directors attended the meeting, and no shareholders were required to abstain or indicated opposition in advance, enabling a smooth passage of all nine ordinary resolutions.
