Orient Securities Co., Ltd. (carrying on business in Hong Kong as DFZQ) has issued a notice convening its 2025 Annual General Meeting (AGM) for 2:00 p.m. on Friday, 5 June 2026 at the Multi-Purpose Function Room, 15/F, 119 South Zhongshan Road, Shanghai.
Key matters to be tabled for ordinary resolution include:
• 2025 performance review: Board of Directors’ report, independent directors’ work report, final accounts and the 2025 annual report.
• Capital return: Approval of the 2025 profit-distribution proposal and authorisation for a 2026 interim profit distribution. Subject to approval, the 2025 final dividend will be paid on 20 July 2026 to H-shareholders on the register as of 30 June 2026.
• 2026 outlook: Determination of the proprietary business scale for 2026, projected routine related-party transactions (with Shenergy Group, other related legal entities and related natural persons) and the expected provision of guarantees during 2026.
• Governance and services: Engagement of the external accounting firm for 2026 and confirmation of 2025 directors’ appraisal and remuneration.
• Shareholder return policy: Adoption of a three-year (2026-2028) shareholder return plan.
One special resolution is proposed to grant a general mandate for the issuance of onshore and offshore debt-financing instruments.
