Vanov Holdings Company Limited announced a proposal to adopt a Second Amended and Restated Articles of Association, consolidating multiple changes intended to modernise corporate governance and comply with the latest Hong Kong Stock Exchange (HKEX) requirements.

Key amendments include: • Alignment with HKEX’s expanded paperless listing regime, covering electronic shareholders’ instructions, electronic payment of corporate-action proceeds, electronic subscription monies and the uncertificated securities market framework. • Flexibility to convene general meetings in physical, hybrid or fully electronic formats. • Authority to hold repurchased shares as treasury shares, enhancing capital-management options. • House-keeping updates to reflect current Listing Rules and regulatory terminology.

Implementation timeline: • The amendments require shareholder approval by special resolution at the Annual General Meeting scheduled for 26 June 2026. • Upon approval, the revised articles take immediate effect. • A detailed circular, AGM notice and proxy form will be posted on the company’s and HKEX’s websites in due course.

Board composition (announcement date: 30 April 2026): • Executive Directors: Shen Genlian (Chairperson), Zhou Jun, Xie Zongguo, Yuan Aomei. • Independent Non-Executive Directors: Ip Wang Hoi, Jiang Chaozhe, Wang Yunchen.
