CanSino Biologics Inc. (6185) Announces Proposed Cancellation of Board of Supervisors, Governance Amendments, Director Resignations, and Nominations

CanSino Biologics Inc. (the Company, stock code: 6185) announced on October 27, 2025, that its board of directors (the Board) approved several important proposals involving corporate governance adjustments.

The announcement highlights a proposed cancellation of the Board of Supervisors, aligning the Company’s governance structure with the latest regulatory requirements. The corresponding amendments to the Articles of Association and the Rules of Procedures will be presented for approval at an extraordinary general meeting (EGM). Once approved, the audit committee under the Board will take over relevant supervisory functions.

In conjunction with this change, the Company also proposes amendments to existing corporate governance rules, including the Management Policy for Raised Funds, the Management Policy for Related Party Transactions, and other policies. Certain amended corporate governance policies will take effect only with shareholder approval at the EGM, while the rest have already been approved by the Board.

The announcement states that two independent non-executive directors, Mr. Shuifa Gui and Mr. Jianzhong Liu, have tendered their resignations due to the approaching expiry of their six-year term of service. Both will continue to fulfill their duties until the EGM.

In their place, the Board proposes the appointment of two new independent non-executive directors, Mr. Man Cho and Ms. Xuefeng Ji, whose tenure will commence upon shareholder approval at the EGM and continue until the expiry of the current Board’s session. Each will receive an annual director’s fee of RMB300,000 (pre-tax) as determined by the approved remuneration plan.

A circular containing details of the proposed cancellation of the Board of Supervisors, the amendments to governing documents, and the proposed director appointments is expected to be distributed to shareholders in due course.
