Empire Charm Limited (the “Offeror”) and Hengdeli Holdings Limited (3389) issued a clarification regarding their joint announcement dated 28 November 2025. The voluntary unconditional general cash offer is made on behalf of the Offeror by Guotai Junan Securities (Hong Kong) Limited and CMBC Securities Company Limited to acquire all issued shares of Hengdeli Holdings Limited not already owned by Empire Charm Limited and Ms. Fung.
