SEACON Shipping Provides Charter Guarantee

SEACON Shipping (02409) has announced that on February 12, 2026, following the trading hours of the Hong Kong Stock Exchange, the company, acting as guarantor, executed a charter guarantee. The company has agreed to guarantee the obligor's proper and timely performance of vessel-related obligations under the transaction documents for the benefit of the owner. According to the transaction documents, the charterer, an associate of the company, has entered into a financial lease arrangement with the owner for a vessel, involving a total principal amount not exceeding $39.1 million. The charterer is a limited liability company incorporated in Liberia. As of the date of this announcement, the charterer is wholly owned by Huanghai SEACON Shipping Co., Ltd., which in turn is 50% owned by SEACON Shipping through its indirect wholly-owned subsidiary, GHC Holding Ltd., and 50% owned by an independent third party, Huanghai (Hong Kong). Under the transaction documents, the charterer is required to procure that the company provides the charter guarantee for the benefit of the owner, serving as security for the charterer's performance of its contractual duties, liabilities, and obligations under the transaction documents. The company's management believes that providing the guarantee enables the charterer to enter into the financial lease arrangement, obtain additional working capital, fund the vessel acquisition, and ensure the charterer's sustained and stable growth. On February 12, 2026, Huanghai (Hong Kong) also executed a charter guarantee for the benefit of the owner, providing a guarantee on terms similar to the company's charter guarantee, proportionate to its indirect interest in the charterer.
