Times China expands share base by 0.006% through conversion of 2027 zero-coupon mandatory convertible bonds

Times China Holdings Limited disclosed on 7 August 2026 that it has enlarged its issued share capital via two small tranches of mandatory convertible bond (MCB) conversions.

The company allotted 125,369 new ordinary shares following the conversion of its Zero Coupon Mandatory Convertible Bonds due 2027 (MCB I), representing 0.004 % of the pre-event issued share capital. On the same date, a separate conversion of MCB II added 51,054 new shares, equivalent to 0.002 % of the previous share base.

In aggregate, 176,423 new shares were issued, lifting Times China’s outstanding share count from 2,992.52 million to 2,992.69 million. The combined increase represents approximately 0.006 % of the company’s issued shares.

No treasury shares were held, repurchased, or cancelled, and no on-market sales of treasury shares were reported. The board confirmed that all regulatory and listing rule requirements related to the share issues have been met.
