Wan Leader International Limited has signed a conditional Subscription Agreement with its chairman and chief executive officer, Mr. Loy Hak Yu Thomas, to issue 44.92 million new shares at HK$0.104 per share, generating gross proceeds of approximately HK$4.67 million.

The new shares represent about 25% of the company’s existing issued capital and 20% of the enlarged share base post-completion, raising total shares outstanding from 179.69 million to 224.61 million. Net proceeds after expenses are estimated at HK$4.55 million, translating into a net subscription price of HK$0.101 per share.

Proceeds allocation: • HK$3.00 million – additional payroll for operational staff to support expansion of logistics routes in the Middle East, North America and Central America. • HK$1.55 million – replenishment of working capital and general operations.

Pricing metrics: • Subscription price equals the closing price on 16 July 2026 (Last Trading Date). • Matches the five-day average closing price of HK$0.104. • Implies a 5.4% discount to the ten-day average closing price of HK$0.110.

Post-transaction shareholding: • Mr. Loy will hold 20.00% of the enlarged share capital; public float will decrease from 69.40% to 55.52%. • Largest existing shareholder Cargo Man Logistics Company Limited remains at 19.13%.

Lock-up: The subscriber is restricted from transferring the new shares for six months after completion.

Regulatory process: The issuance will be executed under a Specific Mandate subject to independent shareholders’ approval at an extraordinary general meeting. An Independent Board Committee and Diligent Capital Limited, as Independent Financial Adviser, have been appointed. Application for listing of the new shares on GEM has been submitted.

The company notes that completion is conditional upon customary approvals, including GEM Listing Committee clearance and shareholder endorsement. If conditions are not met by 16 October 2026, the agreement will lapse.
