Sisram Medical: Fosun Pharma Reorganises 71.42% Stake Under Singapore Subsidiary

On 8 April 2026, Sisram Medical Ltd (Sisram Medical; 01696) announced that controlling shareholder Shanghai Fosun Pharmaceutical (Group) Co., Ltd. (Fosun Pharma) will streamline its holding structure through an internal share transfer among wholly owned subsidiaries.

Two Fosun Pharma units—Ample Up Limited and Chindex Medical Limited—have each signed separate agreements to transfer their entire Sisram Medical shareholdings to fellow group subsidiary Fosun Pharma Industrial Pte. Ltd. (FPI). Specifically: • Ample Up will transfer 207.19 million shares, representing approximately 44.24 % of Sisram Medical’s issued share capital. • Chindex will transfer 127.32 million shares, representing approximately 27.18 % of issued shares.

Upon completion, FPI will control a combined 334.50 million Sisram Medical shares, equating to 71.42 % of total voting rights. Fosun Pharma’s aggregate indirect equity interest in Sisram Medical remains unchanged at 71.42 %, with the reorganisation serving solely to centralise the stake under FPI.

Because FPI’s post-transfer interest will exceed the 30 % threshold, the transaction technically triggers a mandatory general offer under Hong Kong’s Codes on Takeovers and Mergers and Share Buy-backs. Fosun Pharma has obtained a waiver from the Securities and Futures Commission, exempting it from making such an offer.

Completion of the share transfers is subject to customary conditions, and no timetable has been disclosed.

The board composition of Sisram Medical remains as previously announced, led by Chairman Lior Moshe Dayan.
