Frontier Services Group Limited will convene its 2026 annual general meeting on 11 June 2026 at 10:00 a.m. in Suite 3902, 39/F, Far East Finance Centre, 16 Harcourt Road, Admiralty, Hong Kong.
Key agenda items include:
• Financial Statements: Shareholders will consider and adopt the audited financial statements and the directors’ and independent auditor’s reports for the year ended 31 December 2025.
• Board Elections and Remuneration: The meeting will vote on the re-election of Mr. Ko Chun Shun Johnson, Mr. Chan Kai Kong and Mr. Hooi Hing Lee; the election of Mr. Zhang Yi; and the authorisation of the board to set directors’ remuneration.
• Auditor Appointment: PricewaterhouseCoopers is nominated for re-appointment as independent auditor, with the board authorised to fix its remuneration.
• Share Issuance Mandate: The board seeks a general mandate to allot, issue, deal in, sell or transfer treasury shares up to 20% of the company’s issued share capital.
• Share Repurchase Mandate: A separate mandate would allow the board to repurchase up to 10% of issued share capital.
• Mandate Extension: Subject to the passing of the above mandates, shareholders will also vote on extending the issuance mandate by the number of shares repurchased.
Proxy Logistics: Completed proxy forms and supporting documents must reach Tricor Investor Services Limited, 17/F, Far East Finance Centre, by 10:00 a.m. on 9 June 2026, 48 hours before the meeting. Joint holders’ voting rights and other procedural requirements follow standard Hong Kong listing rules.
Shareholders unable to attend in person may appoint a proxy; in the absence of specific instructions the proxy may vote at their discretion on all resolutions and any additional motions raised at the meeting.
