Asian Citrus shareholders veto proposed Rights Issue; fundraising plan lapses

Asian Citrus Holdings Limited announced that its Special General Meeting (SGM) held on 6 August 2026 in Hong Kong rejected the company’s proposed Rights Issue, effectively terminating the fundraising exercise and related arrangements.

The single ordinary resolution seeking approval for the Rights Issue garnered only 1,512 votes in favour, representing 0.04% of the shares voted, while 4.14 million votes, or 99.96%, were cast against. As fewer than 50% of votes supported the proposal, the resolution failed.

As a result, the Rights Issue and its associated Compensatory Arrangements under the Placing Agreement will not proceed. The planned prospectus despatch, trading timetable and book-closure schedule outlined in the 17 July 2026 circular are now void.

At the meeting date, Asian Citrus had 14.90 million issued shares. Of these, 4.45 million shares—about 29.86% of the total—were required to abstain from voting, and no additional voting restrictions were disclosed. Independent shareholders had not indicated any intention to oppose or abstain ahead of the meeting.

The company stated it will examine alternative fundraising options to support its business expansion plans and will provide updates when appropriate.

Executive Director Ms. Li Ziying, Non-executive Director Mr. James Francis Bittl, and Independent Non-executive Directors Mr. Liu Ruiqiang and Mr. Zhuang Canbin attended the SGM electronically, while Independent Non-executive Director Mr. Wang Tianshi was absent due to other business commitments.
