Ling Yue Services Group Limited announced the appointment of Mr. Zhang Guanghu as an Independent Non-Executive Director (INED) and chairman of the Audit Committee, effective 29 July 2026. His board tenure is set at three years, subject to retirement by rotation and re-election at the company’s annual general meetings.

Mr. Zhang, aged 54, brings close to three decades of experience spanning finance, accounting, taxation and legal services. His career includes roles as: • Accountant and financial manager at construction and real-estate companies (1995–2005) • Tax planner at Sichuan Wanhao Tax Advisor Firm (2005–2006) • Project manager at ShineWing Certified Public Accountants LLP, providing audit, due-diligence and internal-control services to listed companies (2006–2013) • Financial manager at Sichuan Shenghua Group (2013–2014) • Deputy general manager with financial oversight at Bazhong City Bashan Animal Husbandry (2014–2017) and Sichuan Daerzhi Information Technology (2017–2018) • Practising lawyer at Sichuan Pulian Law Firm and Beijing Huicheng (Chengdu) Law Firm (2018–present) • Part-time financial consultant at Beijing Changcai Management Consulting Group (2021–present) • Former INED and Audit Committee chair of Leading Holdings (14 Feb 2025 – 1 Dec 2025)

Mr. Zhang holds a bachelor’s degree in accounting from Southwestern University of Finance and Economics (1995). He is a non-practising Chinese Certified Public Accountant and a licensed lawyer in the PRC.

Under his three-year letter of appointment, Mr. Zhang will receive annual remuneration of approximately RMB0.10 million. He currently holds no shares or debentures in Ling Yue Services Group Limited, has no other positions within the Group, and confirms independence under Rule 3.13 of the HKEX Listing Rules.

Following this appointment, the Board of Ling Yue Services comprises two executive directors (Liu Yuqi, Luo Hongping), two non-executive directors (Wang Tao, Hou Sanli) and three independent non-executive directors (Luo Ying, Hu Ning, Zhang Guanghu).
