WKK INTL (HOLD) approves NT$360.00 million purchase of Taoyuan industrial land via written shareholder consent

Wong’s Kong King International (Holdings) Limited (WKK INTL (HOLD)) announced that on 25 August 2026, its 67.44%-owned Taiwan subsidiary, Taiwan Kong King Co., Ltd., signed a Sale and Purchase Agreement to buy a vacant Type B industrial plot (Lot No. 228, Chengsheng Section, Luzhu District, Taoyuan City) for NT$360.00 million (approximately HK$90.00 million).

The site covers about 3,430.01 sq m and carries a statutory building coverage ratio of 70% and a floor-area ratio of 210%, allowing development of purpose-built office and production facilities near Taoyuan International Airport and major transport hubs. Management cites the move as integral to relocating operations from an ageing multi-owner industrial complex and supporting future capacity expansion.

Pricing was set after arm’s-length negotiations and references a 31 July 2026 valuation by CCIS Real Estate Joint Appraisers Firm, which assessed the land at NT$362.11 million (HK$90.03 million). The agreed consideration reflects a 0.6% discount to this valuation. Funding will come from internal resources and existing banking lines.

Payment timetable (escrow account): • NT$36.00 million (10%) on signing • NT$36.00 million (10%) by 23 September 2026 • NT$36.00 million (10%) by 22 October 2026 • NT$252.00 million (70%) by 6 November 2026, followed by title transfer and land hand-over

The transaction meets the definition of a “major transaction” under Chapter 14 of the Hong Kong Listing Rules as the relevant percentage ratios exceed 25% but are below 100%. In accordance with Rule 14.44, the requirement for a general meeting has been fulfilled through irrevocable written approval from a closely allied shareholder group holding 50.96% of issued shares (371.92 million shares). A circular providing further details will be dispatched on or before 15 September 2026.

The independent non-executive directors concur that the terms of the acquisition are fair and reasonable and align with the Group’s strategic objective of enhancing operational efficiency and future growth capacity.
