Vistar Holdings Limited has issued its proxy form and agenda for the upcoming Annual General Meeting (AGM), to be convened on 19 August 2026 at 11:00 a.m. at 24/F, Admiralty Centre I, 18 Harcourt Road, Hong Kong. Key matters to be put before shareholders include:

1. Adoption of FY2025/26 Results • Shareholders will vote on the audited consolidated financial statements, the directors’ report and the independent auditor’s report for the year ended 31 March 2026.

2. Board Composition and Remuneration • Re-election of Executive Directors: – Mr. Poon Ken Ching Keung – Mr. Ng Kwok Wai – Ms. Lee To Yin • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Re-appointment • Renewal of BDO Limited’s mandate as external auditor and authorisation for the Board to fix its remuneration.

4. General Mandates • Issue Mandate: Authorisation for the Board to allot, issue and deal with additional shares representing up to 20% of the company’s issued share capital (excluding any treasury shares) as at the date of approval. • Repurchase Mandate: Approval for the company to buy back shares representing up to 10% of the issued share capital (excluding any treasury shares) as at the date of approval. • Extension Mandate: Conditional on the above mandates passing, the Issue Mandate will be extended by the number of shares repurchased under the Repurchase Mandate.

Procedural Details • Shareholders entitled to attend and vote may appoint one or more proxies; completion of the proxy form does not preclude in-person attendance. • Proxy forms, together with any relevant authority documents, must be deposited with Tricor Investor Services Limited no later than 48 hours before the AGM.
