Xinhua Winshare Publishing and Media Co., Ltd. (Stock Code: 811) has scheduled an extraordinary general meeting (EGM) for 9:30 a.m. on Tuesday, 23 December 2025, at Xinhua Star Tower A, No. 238 Sanse Road, Jinjiang District, Chengdu, Sichuan, the PRC. The record date for H Shareholders is set as 23 December 2025, and the register of members for H Shares will be closed from 22 November 2025 to 23 December 2025.

The EGM will consider several resolutions set out in a circular dated 7 November 2025, including special resolutions on proposed amendments to the Articles of Association (together with the proposed abolishment of the Supervisory Committee), the General Meeting Rules, and the Board Meeting Rules. Ordinary resolutions will include proposed amendments to the Independent Directors Working System and the Connected Transaction System.

H Shareholders intending to attend must submit transfer documents by 4:30 p.m. on 21 November 2025. Proxy forms must be deposited at the Hong Kong H Share Registrar by 9:30 a.m. on 22 December 2025, and attending shareholders should bring valid identification. The meeting is expected to last for less than half a day, with shareholders responsible for their own travel and accommodation.
