AEC GROUP (08320) announced that on January 26, 2026, the Company entered into a non-legally binding strategic cooperation agreement with Gongjian New Energy (Shenzhen) Group Co., Ltd. (the Business Partner).

Pursuant to the agreement, the Company and the Business Partner have agreed in principle to collaborate in the hydrogen energy-related business sector.

This collaboration includes conducting preliminary studies, feasibility analyses, and planning for hydrogen energy businesses and related projects; researching and analyzing hydrogen-related technologies, business models, and applications; as well as engaging in market promotion, brand cooperation, and industrial resource matching for hydrogen energy.

Following further negotiations, the Company and the Business Partner may jointly establish合资 companies in the near future in the following regions: 1. Using Hong Kong, China as a platform for overseas investment, operation, sales, and promotion of hydrogen vehicles and related businesses; and 2. Using Mainland China as a platform for the sales, development, and operation of projects related to hydrogen vehicles and associated businesses.

The Company and the Business Partner will proceed to negotiate the specific details of the cooperation and concrete projects, and may enter into legally binding agreements when appropriate.

The Business Partner possesses professional capabilities and an industrial foundation in hydrogen energy technology, products, industrial resources, and market networks, while the Company has extensive experience in capital markets, international business, and environmental protection and sustainable development consulting.

According to the People's Republic of China's "16th Five-Year Plan," hydrogen energy has been positioned as a future industry and a key component of the new energy system, with the government actively promoting the development of the hydrogen energy industry chain and hydrogen vehicles.

The development of hydrogen vehicles and related businesses is expected to possess significant market potential, and the Company believes that the cooperation with this Business Partner will assist the Group in capturing emerging market opportunities.
