Biosysen proposes to expand authorised share capital five-fold to HK$100.00 million, creating 8 billion new shares

Biosysen Limited has announced a plan to raise its authorised share capital from HK$20.00 million (2.00 billion shares at HK$0.01 each) to HK$100.00 million (10.00 billion shares), adding 8.00 billion new shares that will rank pari passu with existing shares.

As of the announcement date, the company has 1.19 billion shares in issue and 806.93 million shares authorised but unissued. Management stated that the enlarged mandate will provide greater flexibility to fund future business expansion and operational needs.

The proposal comes on the heels of two previously disclosed financing initiatives: 1) a non-underwritten rights issue of one rights share for every two existing shares (announced 24 June 2026), and 2) the planned issuance of HK$50.00 million in convertible bonds under a specific mandate (announced 27 May 2026). Beyond these transactions, Biosysen indicated no immediate equity fundraising plans but did not rule out future debt or equity exercises.

Implementation of the authorised share capital increase requires approval via an ordinary resolution at an upcoming extraordinary general meeting. A circular detailing the proposal and the EGM notice is scheduled for dispatch to shareholders on 5 August 2026.

The company advised shareholders and potential investors to exercise caution when dealing in Biosysen shares.
