LIANLIAN calls 5 June 2026 AGM to endorse 2025 results, appoint directors, switch auditor to Deloitte and renew share mandates

Lianlian DigiTech Co., Ltd. (LIANLIAN, HK:02598) has issued notice that its 2026 annual general meeting (AGM) will be convened on 5 June 2026 at 10:00 a.m. in Hangzhou, Zhejiang Province.

Key items to be tabled for shareholder approval include:

1. 2025 performance review • Board Report, Supervisory Committee Report, audited consolidated financial statements and the full 2025 Annual Report will be put to a vote. • A 2025 profit-distribution plan is proposed; specific payout terms were not disclosed in the notice.

2. Capital management and funding • Authorisation for the Company to obtain credit lines from banks and other financial institutions and provide guarantees in favour of its subsidiaries. • General mandates for the Board to (i) issue shares and (ii) repurchase shares, both requiring special resolution approval.

3. Board composition adjustments • Election of Mr Shen Enguang and Mr Sun Dali as executive directors for the second Board session. • Adjustment of remuneration for independent non-executive directors.

4. Auditor rotation • Deloitte Touche Tohmatsu is nominated to replace PricewaterhouseCoopers as external auditor for the 2026 financial year, subject to approval, with the Board authorised to determine remuneration.

Procedural details • All resolutions will be decided by poll in compliance with Hong Kong Stock Exchange Listing Rules. • The register of members will be closed from 2 June to 5 June 2026 (both days inclusive); shareholders recorded on 5 June 2026 are entitled to attend and vote. • Proxy appointments must be lodged at the Company’s PRC office or with Computershare Hong Kong Investor Services by 10:00 a.m. on 4 June 2026.

The current Board comprises four executive directors—Zhang Zhengyu (Chairman), Xin Jie, Wei Ping and Zhu Xiaosong—and three independent non-executive directors—Chun Chang, Wong Chi Kin and Lin Lanfen.
