ENERGY INTINV (00353) Enters New Structural Contract to Maintain Substantial Control Over Value-Added Telecommunications Business

ENERGY INTINV (00353) announced that in August 2025, the wholly foreign-owned enterprise (WFOE) received a demand letter jointly issued by natural person registered shareholders (Mr. Sun and Mr. Zhan), the company registered shareholder (Shenzhen Luhe Energy), and the operating company. The demand letter required the WFOE to provide stipulated consent for the transfer of 70% equity interest in the operating company, currently registered under the names of the natural person registered shareholders, to the company registered shareholder. With the WFOE's consent, the equity transfer was completed on August 25, 2025.

On August 25, 2025, the company registered shareholder, natural person registered shareholders, Longguang, the WFOE, the operating company, and other relevant contracting parties entered into new structural contracts. These new contracts, which are substantially similar in terms and conditions to the existing structural contracts except for changes in contracting parties and other corresponding and necessary modifications, grant the WFOE rights and powers equivalent to and/or no less than those under the existing structural contracts, and completely replace the existing structural contracts.

The replacement of existing structural contracts with new structural contracts has not resulted in any material adverse impact on the group's operations or financial condition. Following the equity transfer and the execution of new structural contracts, the WFOE will continue to enjoy 70% of the economic benefits generated by the operating company group, and the financial performance of the operating company group will continue to be accounted for by the group using the equity method of accounting.
