FS.COM Limited’s Board of Directors has formally adopted the “Terms of Reference of the Strategy Committee,” establishing a specialized body to bolster the company’s medium- and long-term strategic planning as well as oversight of major investment decisions.

• Committee Structure: The Strategy Committee will comprise three directors, including two independent directors. A chairperson, elected by the Board, will lead the committee.

• Mandate and Authority: Core responsibilities include formulating the company’s medium- to long-term development plans, evaluating significant investment and financing projects, and advising on major strategic initiatives. All proposals will be submitted to the Board for final decision.

• Operating Procedures: – Meeting Frequency: At least one meeting per year, with notices issued five days in advance. – Quorum and Voting: Meetings require a minimum two-thirds attendance; resolutions pass by simple majority. – Support Structure: A working group will prepare meetings and implement resolutions, coordinated by the board secretary. The committee can engage external advisers at the company’s expense.

• Governance Safeguards: – Confidentiality obligations apply to all attendees. – Minutes will be archived for ten years. – Members missing two consecutive meetings without submitting written opinions will be replaced.
