Shandong Molong Petroleum Machinery Company Limited held its 2026 annual general meeting (AGM) on 30 June 2026 in Shouguang, Shandong Province. Shareholders representing 239.15 million shares—about 29.97% of the company’s 797.85 million issued shares—voted by poll and approved every one of the 11 resolutions on the agenda. No shares were required to abstain, and there were no treasury shares in issue.

Financing and cash-management mandates • Banking facilities: Shareholders authorised management to secure up to RMB 4.00 billion in integrated credit lines from PRC banks and other financial institutions for 2026. The motion passed with 99.40% approval. • Use of idle funds: A proposal permitting the company to deploy surplus cash for short-term investments won 99.37% support.

Governance and risk management • 2026 remuneration: The remuneration package for directors and senior management was backed by 99.62% of votes. • Directors’ and officers’ liability insurance and a revised remuneration management system each gained c.99.6% shareholder approval. • Shareholders also acknowledged that uncovered losses exceed one-third of paid-up capital, approving the related proposal with 99.65% support.

Audit and capital authorisations • Grant Thornton Zhitong Certified Public Accountants LLP was re-appointed as external auditor for FY 2026; 99.38% of votes supported the motion. • A special resolution granted the board a general mandate to issue, allot or deal with additional H-shares—up to 20% of total issued shares—passing with 99.34% approval.

Procedural compliance All board directors attended the AGM. ZHITONG Certified Public Accountants Ltd served as the scrutineer. The meeting complied with PRC Company Law, the Hong Kong Listing Rules and the company’s Articles of Association.
