Tanwan repurchases 118,000 shares, treasury stock rises to 12.27 million

Tanwan Inc. (incorporated in the Cayman Islands) disclosed that it repurchased 118,000 ordinary shares on 5 May 2026 through on-market transactions on the Hong Kong Stock Exchange.

• Pricing and consideration The shares were bought at prices ranging from HKD 15.68 to HKD 16.38, with a volume-weighted average cost of HKD 16.04 per share. Total cash outlay reached HKD 1.89 million.

• Impact on share capital After the transaction, issued shares (excluding treasury shares) fell 0.02 % to 522.17 million, while treasury shares increased to 12.27 million. Total issued shares remained unchanged at 534.44 million because the repurchased shares are being held in treasury and have not been cancelled.

• Repurchase mandate utilisation The buyback was executed under the share-repurchase mandate approved on 19 June 2025, which authorises the company to repurchase up to 53.31 million shares. Cumulative repurchases under this mandate now stand at 10.89 million shares, equivalent to 2.04 % of the issued share base on the mandate date.

• Regulatory observations In accordance with Hong Kong listing rules, Tanwan is subject to a moratorium on new share issues or treasury-share sales until 4 June 2026 following this repurchase.

The board confirmed that the repurchase complied with all applicable laws, regulations and listing requirements.
