SoftBank Eyes Record-Breaking High-Yield Bond Sale, Targeting Up to $20 Billion to Fuel AI Ambitions

SoftBank Group Corp. is set to engage with investors in New York next week, gauging interest in a potential U.S. dollar-denominated high-yield bond offering. This move signifies a strategic acceleration of capital-raising efforts by Masayoshi Son's investment vehicle, aimed at underpinning its substantial commitments to artificial intelligence ventures.

Insiders indicate that Chief Financial Officer Yoshimitsu Goto and other executives will hold in-person meetings with investors at Citigroup's offices from September 14 to 17. The gatherings, orchestrated by Citigroup, Goldman Sachs, Morgan Stanley, and JPMorgan, are designed for qualified bond investors under Rule 144A. Importantly, these sessions are not tied to a specific bond issuance.

Building on reports from last month, SoftBank is exploring the high-yield market to secure between $10 billion and $20 billion, potentially including a euro-denominated tranche. Analysts at Barclays have noted in a recent report that such an issuance could significantly influence U.S. high-yield bond indices should it meet inclusion criteria. It could potentially rank among the largest speculative-grade corporate bond sales ever recorded.

Barclays analyst Roanna Chau stated, "The key question is no longer whether SoftBank can access funding markets, but at what cost and with what impact on existing bondholders." She added that the new issuance might offer a "substantial" spread premium relative to SoftBank's existing bonds and comparable credit instruments.

SoftBank has channeled tens of billions of dollars into AI enterprises, a strategy that has elevated its balance-sheet leverage and sparked concerns regarding its concentrated AI risk exposure. To support its investment in OpenAI, SoftBank secured a $40 billion bridge loan earlier this year. The company is now diversifying its funding sources through the debt market, replacing short-term liabilities with longer-dated bonds.

Credit analyst Sharon Chen remarked, "If all pending projects are financed through debt, SoftBank's total indebtedness could climb from approximately $80 billion in March 2025 to over $130 billion." She highlighted that the company's expanding AI portfolio renders "a sharp decline in AI stock valuations or further aggressive investments, particularly in OpenAI, as pivotal credit risks."

On September 4, SoftBank priced a ¥1 trillion (approximately $6.5 billion) corporate bond in the domestic Japanese market, setting a record for the largest single corporate bond issue in Japan, primarily targeting retail investors. Japanese individual investors have long favored SoftBank bonds due to their attractive coupons and the company's strong brand recognition as a holder of professional baseball teams and a major mobile carrier.

However, the sheer scale of capital required for Son's latest investment vision has compelled SoftBank to increasingly depend on international fixed-income investors. By October, SoftBank's cumulative investment in OpenAI is projected to approach $5 billion. Yet, unlike major tech firms that have raised substantial sums from global debt markets, SoftBank's credit profile remains comparatively weaker. S&P Global Ratings assigns SoftBank a BB+ rating, the highest tier within speculative grade. In contrast, Alphabet and Amazon, which are set to be the largest corporate bond issuers in 2026, hold AA+ and AA ratings respectively, surpassing even Japan's sovereign credit rating.
