Breton Technology Co., Ltd. (Breton Technology) and Shanghai Zhida Technology Development Co., Ltd. (Zhida Technology) entered into a non-binding framework letter of intent on 2 June 2026 to pursue long-term collaboration in new-energy engineering equipment and intelligent charging infrastructure for an initial three-year term.

The two parties plan to act as non-exclusive overseas sales agents for each other’s products across markets such as Indonesia, Australia and Latin America. Breton Technology will give priority to procuring high-power chargers and charging robots from Zhida Technology, while Zhida Technology intends to source electric mining trucks from Breton Technology on a best-effort basis.

Procurement targets within the three-year period are: • at least 5,000 units of high-power chargers or charging robots to be purchased by Breton Technology, subject to technical conformity and the signing of definitive agreements; • no fewer than 500 electric mining trucks to be purchased directly by Zhida Technology or through third-party referrals.

Additional cooperation initiatives include: • co-investing in an overseas shared service and after-sales centre to integrate repair stations, personnel and spare-parts inventories; • establishing a joint technical team to develop intelligent charging solutions for zero-carbon mining scenarios and explore data-sharing mechanisms; • jointly promoting an integrated “Mining Operation Robot Cluster + Intelligent Charging Robot System” and bidding together in specific projects; • assessing the establishment of a joint venture to coordinate market development, product sales and after-sales services when conditions permit; • agreeing on separate written terms for ownership and revenue sharing of jointly generated intellectual property, and collaborating on brand promotion.

The letter of intent is non-binding; any formal cooperation will depend on subsequent definitive agreements, which may constitute a discloseable transaction under Hong Kong Listing Rules. Shareholders and potential investors are advised to exercise caution when dealing in Breton Technology’s securities.
