Q & M Dental Group (Singapore) Limited (QC7) to buy 51% stake in Thailand’s Deezy dental chain for about S$38.7 million

Q & M Dental Group (Singapore) Limited (QC7) has signed a binding sale and purchase agreement on Jul, 10 2026 to acquire 100% of British Virgin Islands-incorporated QDD Venture Ltd, which will own 49.9 per cent of Deezy Q&M Dental Group (Thailand) Co., Ltd. (Deezy) after a pre-completion restructuring. In parallel, Q & M will set up a joint-venture company to hold another 2.2 per cent of Deezy, giving the Singapore-based dental player an effective 51 per cent interest in the Thai business.

The consideration is THB 994.5 million (about 38.7 million Singapore dollars), comprising THB 700 million (roughly 27.2 million Singapore dollars) in cash and THB 294.5 million (about 11.5 million Singapore dollars) to be settled via 16.38 million new Q & M shares issued at S$0.70 each. The new shares equal 1.7 per cent of the enlarged share capital and will be subject to a 15-year lock-up.

Deezy operates around 33 “Deezy Dental Home” clinics across Thailand, staffed by more than 400 dentists and having served over 400,000 patients. The business delivered an unaudited net profit before tax of approximately S$2.1 million for the year ended Dec, 31 2025.

The sellers and founders, Dr. Thunyaporn Pongkajornkitjakarn and Dr. Nanthisak Piyanantisak, have provided a six-year profit guarantee totalling THB 1.251 billion (about 48.7 million Singapore dollars). Any shortfall will be covered through dividend waivers, funds held in an escrow account of THB 48.74 million and, if required, the sale of pledged consideration shares. Q & M has also secured a put option to sell the stake back to the sellers at cost plus 10 per cent per annum if the guarantees are not met.

Classified as a “discloseable transaction” under Singapore Exchange rules, the deal’s consideration equals about 7.3 per cent of Q & M’s market capitalisation, and no shareholder approval is required. The cash portion will be funded by bank borrowings and internal resources.

Q & M said the move gives it an immediate footprint in Thailand’s growing private dental market, provides geographic diversification beyond Singapore and Malaysia, and offers a scalable platform for future expansion.

Completion is subject to conditions precedent, including regulatory clearances and finalisation of service and shareholder agreements, and is targeted within six months. Investors are advised to exercise caution as the transaction has yet to complete.
