Shanghai Ganglian's "Data + AI" Pivot Lacks Substance as Core Business Nears Break-Even and 98.7% of Cash Reserves Remain Restricted

Investor concerns have been mounting over Shanghai Ganglian E-Commerce Holdings Co.,Ltd. (300226.SZ) after its recent equity incentive plan set unusually low performance targets. At a September 17 extraordinary shareholder meeting, the company approved three restricted stock incentive proposals, but the modest assessment thresholds have sparked widespread criticism from market participants.

The company's high-margin industrial data services segment has now posted revenue declines for three consecutive interim reporting periods, signaling persistently weak growth momentum. While steel trading services continue to serve as the revenue backbone, the supply chain services sub-segment within this division accounts for a staggering 94.04% of total revenue yet carries a razor-thin gross margin of just 0.52%, dragging down overall profitability. Following the reduction in government subsidies, net profit growth attributable to shareholders has slowed to less than one-third of revenue growth, while operating cash flow has deteriorated significantly. More alarming, of the 24.403 billion yuan in monetary funds on the books, a staggering 98.72% remains restricted, leaving the company with minimal truly available capital.

High-Margin Division Posts Third Straight Decline, Low-Margin Supply Chain Services Fill the Gap

Under the 2026 restricted stock incentive plan draft, Shanghai Ganglian intends to grant 10 million restricted shares, representing 2.61% of total share capital. The initial grant covers no more than 388 recipients at a price of 8.35 yuan per share, equivalent to 50.3% of the current stock price. Unlike conventional incentive schemes, this plan simultaneously evaluates both adjusted net profit excluding non-recurring items and cash received from sales of goods and services in the industrial data services segment. Specifically, relative to 2025 levels, the trigger growth rates for adjusted net profit from 2026 through 2028 are set at 3%, 6%, and 8%, while target growth rates are 5%, 8%, and 10%. For the industrial data services cash receipt metric, trigger growth rates stand at 5%, 9%, and 12%, with targets of 8%, 12%, and 15%. The minimum hurdles barely reach single digits, prompting investor pushback over the conservatism of the incentive objectives.

In response during recent investor briefings, Shanghai Ganglian explained that the company has entered a critical transformation phase. To drive business development and meet compliance requirements, it plans to increase AI-related investments over the next three years while actively expanding into emerging data service sectors. These upfront expenditures will create cost pressures, making the established profit growth targets appropriately challenging. The company added that its industrial data services business is advancing a "Data + AI" application transformation that has experienced two years of revenue decline. The newly established growth metrics aim to guide the segment toward a turning point and return to expansion.

Company records describe Shanghai Ganglian as one of the world's leading providers of bulk commodity and related industrial data services. The industrial data services division offers multidimensional data systems centered on commodity pricing. The steel trading services division encompasses consignment trading and supply chain services, delivering transaction settlement, warehousing and processing, logistics distribution, data intelligence, supply chain solutions, and SaaS products as value-added offerings.

Fundamental performance indicators diverge noticeably from the recovery expectations embedded in the incentive targets, with persistent weakness in high-value segments. In the first half of this year, the industrial data services division generated 364 million yuan in revenue, a year-on-year decline of 0.58%. Data subscription services contributed 229 million yuan, up 1.61%; business promotion services reached 70.52 million yuan, up 7.02%; conference and training services, along with research and consulting, delivered 35.23 million yuan and 20.06 million yuan respectively, falling 16.88% and 16.42% year-on-year. Looking at the broader trend, industrial data services revenue has now declined across three consecutive semi-annual reports, with 2024 and 2025 first-half figures of 381 million yuan and 366 million yuan reflecting drops of 3.6% and 3.91%.

On the steel trading front, consignment services generated 1.893 billion yuan in first-half revenue, surging 253.33% year-on-year, while supply chain services posted 36.223 billion yuan, up 16.09%. These segments account for 4.91% and 94.04% of total revenue respectively. Notably, the profitability quality of the steel trading services that underpin overall revenue remains poor. During the first half, gross margins for data subscription, business promotion, conference and training, and research and consulting services within the industrial data division were 61.09%, 61.18%, 31.84%, and 59.4% respectively. However, consignment services saw gross margins contract by 13.75 percentage points to 5.98%, while supply chain services, the largest revenue contributor, saw margins sink to just 0.52%. This combination left overall gross margin at a meager 1.38%, down 0.04 percentage points year-on-year.

Despite championing the "Data + AI" transformation narrative, the high-profit industrial data services continue to languish, meaning the story's transition from investment to meaningful revenue contribution still requires time to validate.

Net Profit Growth Lags Revenue, Cash Flow Deteriorates Further

For the first half of this year, Shanghai Ganglian recorded operating revenue of 38.521 billion yuan, up 19.87% year-on-year, while net profit attributable to shareholders reached 125 million yuan, growing just 5.23% — less than one-third of the revenue growth rate. During the comparable 2025 period, revenue and net profit stood at 32.136 billion yuan and 118 million yuan, with growth rates of -22.59% and 41.07% respectively. The unusual performance trajectory was previously bolstered by 91.79 million yuan in government subsidies, which accounted for 77% of net profit attributable to shareholders. This year, however, such subsidies plummeted approximately 76% to 22.12 million yuan.

Cash flow signals are even more urgent than the tepid earnings picture. In the first half, net cash flow from operating activities registered negative 310 million yuan, a 194.01% decline compared to the same period in 2025. The company attributes this cash outflow to increased working capital needs driven by higher transaction volumes on its Steelbank e-commerce platform, which settled 30.83 million tons of steel in the period, up 20.8% year-on-year. Looking back further, operating cash flow came in at 626 million yuan and 330 million yuan for the first halves of 2024 and 2025 respectively, underscoring a sharply weakening capacity for self-generated capital.

While Shanghai Ganglian's balance sheet shows substantial cash holdings, the liquidity picture is largely illusory. At the end of the first half, monetary funds totaled 24.403 billion yuan, up 50.85% year-on-year. However, restricted funds — including margin deposits for notes, factoring, and letters of credit, as well as judicially frozen amounts — reached 24.091 billion yuan, meaning 98.72% of reported cash is unavailable for normal use. Actual cash and bank deposits amount to just 261 million yuan. Furthermore, the vast majority of corporate assets are encumbered, with restricted asset book values reaching 24.388 billion yuan, representing 72.54% of total assets. Beyond monetary funds, restrictions also apply to notes receivable, accounts receivable, financing receivables, and non-current assets maturing within one year.
