HSBC cuts share count by 10,000; 6.23 million additional shares awaiting cancellation under buy-back mandate

HSBC Holdings plc filed a Next Day Disclosure Return on 27 August 2026 detailing the latest progress of its share-repurchase programme.

The bank confirmed that 10,000 ordinary shares repurchased on 24 August in London were cancelled on 26 August, trimming the company’s issued share capital to 17.17 billion shares, a marginal reduction of 0.00006%.

Beyond the cancelled amount, a further 6.23 million shares—equal to about 0.04% of the current share count—have been repurchased but had not yet been cancelled as of 26 August. These comprise 234,000 shares bought in the UK and 5.99 million shares bought on the Hong Kong Stock Exchange (HKEX) between 6 and 26 August.

Latest daily activity (26 August 2026): • UK venues: 34,000 shares repurchased across the London Stock Exchange, CBOE Europe (CXE & BXE) and Turquoise at prices ranging from GBP 15.07 to GBP 15.25, for a total outlay of GBP 0.51 million (average GBP 15.17 per share). • HKEX: 580,000 shares repurchased at prices between HKD 161.10 and HKD 163.10, costing HKD 94.09 million (average HKD 162.22 per share). All shares bought on 26 August are earmarked for cancellation.

HSBC’s current mandate, granted at the 8 May 2026 AGM, authorises the repurchase of up to 1.72 billion shares. Since that resolution, 19.87 million shares—representing 0.12% of the shares outstanding when the mandate was approved—have been bought back across Hong Kong and UK trading venues.

Under Hong Kong Listing Rule 10.06(3), the bank is subject to a moratorium on issuing new shares for 30 days following the latest repurchases, expiring on 25 September 2026, except for contingent convertible securities previously consented to by the Exchange.
