Sky Blue 11 Company Limited released a supplemental announcement on 21 October 2026 to clarify matters surrounding the appointment of Mr. Chan Ting Leuk Arthur as an Independent Non-Executive Director (INED), originally disclosed on 5 September 2025.

Mr. Chan previously held all shares of CAPN Limited—an unrelated Hong Kong-incorporated private company focused on IT and property management—until 4 November 2024 and served as its director from 4 August 2022 to 12 November 2024. The High Court of Hong Kong issued a winding-up order against CAPN Limited on 16 July 2025, within 12 months of Mr. Chan’s resignation. Neither Sky Blue 11’s board nor Mr. Chan was aware of the liquidation when the INED appointment was announced.

Under Listing Rule 13.51(2)(l), the winding-up order constitutes information that must be disclosed. Mr. Chan indicated that no claims have been made or are anticipated against him in relation to CAPN Limited’s liquidation.

The board noted that Mr. Chan had no involvement in CAPN Limited’s operations following his resignation and found no evidence linking him to events leading to the company’s winding up. Consequently, the board concluded that the liquidation does not affect Mr. Chan’s integrity, character, or ability to serve as an INED, nor does it impact Sky Blue 11’s business or operations.
