Bank of Qingdao: Haier Industrial Development To Pare Stake by Up to 1.84% Through Block Trades

Bulletin Express
06/02

Bank of Qingdao Co., Ltd. announced that Haier Industrial Development Co., Ltd.—its second-largest single shareholder—intends to dispose of up to 107.09 million shares, equal to 1.84 % of the bank’s total issued share capital, via block trades between 26 June 2026 and 25 September 2026.

Haier Industrial Development currently holds 532.60 million shares (9.15 %) in Bank of Qingdao. Together with six Haier-affiliated entities acting in concert, the broader Haier Group controls 1.06 billion shares, or 18.14 % of the bank.

Transaction details • Method: block trading only • Pricing: to follow prevailing market prices and Shenzhen Stock Exchange block-trade rules • Lock-up obligations: any buyer of these shares may not sell them within six months of acquisition, per regulatory requirements.

Rationale Haier Industrial Development cited the need to “optimize asset structure” and concentrate on core industrial operations, aligning with government initiatives that encourage industrial capital to refocus on the real economy. Proceeds will be redeployed to support the shareholder’s long-term growth strategy.

Regulatory and governance considerations • The planned reduction observes the Securities Law, the Interim Measures on Shareholder Reductions, Shenzhen Stock Exchange Listing Rules, and related self-discipline guidelines. • Existing lock-up and rights-issue undertakings made by Haier Industrial Development remain intact; the proposed sale does not breach prior commitments. • Bank of Qingdao has no controlling shareholder or de facto controller, and the sale will not trigger a change in control.

Risk disclosure Execution of the share-sale plan is subject to market conditions; timing, pricing, and final quantities may vary, and completion is not guaranteed. The bank will provide ongoing disclosures in line with regulatory requirements.

Corporate governance update As of 2 June 2026, Bank of Qingdao’s Board comprises four executive directors, five non-executive directors, and five independent non-executive directors chaired by Jing Zailun.
