Data Union Capital Secures HK$90.71 Million Connected-Party Sales Pact with Guangzhou ZYE (2026-2028)

Data Union Capital International Holdings Group Limited announced that its indirect wholly-owned unit, Decheng Innovation (Shenzhen) Technology Co., Ltd., signed a Master Sales Agreement on 22 May 2026 with Guangzhou ZYE Electronic Technology Co., Ltd. (NEEQ: 873128). The contract covers the supply of electronic components and hardware from the effective date to 31 December 2028.

The agreement sets cumulative annual caps of HK$17.10 million for the remainder of 2026, HK$35.91 million for 2027 and HK$37.70 million for 2028, representing a total ceiling of HK$90.71 million over the term. Product pricing will reference prevailing market rates, internal cost structures and order volumes, and must not be lower than prices offered to independent third-party customers. Payments are due within 30–45 days of invoice or delivery confirmation.

Products covered include integrated circuits, semiconductors, charging devices, LED lighting items, and LED displays. Decheng will also provide complimentary ancillary services such as supplier assessment, order tracking, after-sales support and periodic data analytics for the Purchaser.

Because Ms. Wang Qianyu—director of Zentron, another group subsidiary—has close family members controlling 80% of the Purchaser’s voting rights, Guangzhou ZYE is classified as a connected person at the subsidiary level under Chapter 20 of the GEM Listing Rules. Consequently, the transaction is deemed a continuing connected transaction. With board approval and independent non-executive director confirmation of fairness and normal commercial terms, the deal is subject only to annual review, reporting and announcement requirements; no shareholder approval or circular is required (Rule 20.99).

Data Union Capital expects the arrangement to expand revenue in its core electronic component and hardware trading segment by leveraging the Purchaser’s distribution network across Hong Kong and mainland China. Internal controls—price lists, market benchmarking, and annual reviews by both independent directors and external auditors—have been instituted to ensure that transaction terms remain market-aligned and within the stated annual caps.
