Fibocom Wireless Inc. (FIBOCOM) has released a circular proposing the purchase of liability insurance for the company, its directors, senior management and other designated responsible persons.

Key terms of the proposed cover: • Policyholder: Fibocom Wireless Inc. • Insured parties: the company, all directors, senior management members and other relevant responsible persons (final list subject to the insurance contract). • Liability limit: up to RMB30.00 million. • Annual premium: capped at RMB0.20 million. • Policy term: 12 months, with an option for annual renewal or repurchase.

The Board is seeking shareholder authorisation for management to finalise all insurance-related arrangements—such as selecting the insurer, determining detailed contract terms, engaging intermediaries and handling future renewals—within the above parameters.

Extraordinary General Meeting (EGM): • Date & time: 20 August 2026, 2:30 p.m. Beijing time. • Venue: Conference Room, 10/F, Tower A, Building 6, Shenzhen International Innovation Valley, Nanshan District, Shenzhen. • Record date: 20 August 2026; share register closes 17–20 August 2026. Transfer documents must be lodged by 4:30 p.m. on 14 August 2026. • Voting: Poll voting required under Hong Kong Listing Rules. • Abstentions: Chairman Zhang Tianyu, Executive Directors Ying Lingpeng, Xu Ning, Chen Shijiang, Wang Hongyan and the entity Xinyu Guanghe Chuanghong Entrepreneurship Investment Partnership (controlled by Ying Lingpeng) will abstain due to their status as insured parties. The company’s 2.63 million repurchased A-shares carry no voting rights.

The Board recommends shareholders vote in favour of the proposal. Proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 2:30 p.m. on 19 August 2026.
