Crocodile Garments Reshapes Board: CFO Tsang Elevated, Vicky Lam Joins as Non-Exec, Long-Serving Matthew Lam Steps Down

Hong Kong-listed apparel group Crocodile Garments Limited (Crocodile Garments) has overhauled its senior leadership following the 27 May 2026 annual general meeting (AGM), triggering both departures and new appointments at board and management level.

Executive director retirement • Matthew Lam, an executive director since 1999, retired from the Board at the close of the AGM to focus on other commitments. The company thanked him for nearly three decades of service and confirmed there are no outstanding disagreements or matters requiring shareholder attention.

CFO promoted to Board and key governance roles • Chief Financial Officer Tsang Wing Pong, 40, has been appointed executive director and joins the Executive Committee with immediate effect. • Tsang, a CPA with 17 years’ experience across KPMG, Baofeng Modern International and Television Broadcasts Limited, has served as Crocodile Garments’ CFO since August 2024. • Remuneration: HK$160,000 monthly salary as CFO plus an annual director’s fee of HK$10,000, both subject to review; contract terminable with three months’ notice. • Shareholding: 176 shares, representing 0.00017% of issued share capital. • Tsang also replaces Chair and CEO Vanessa Lam as the company’s authorised representative under Hong Kong Listing Rule 3.05.

Vicky Lam appointed non-executive director • Lam Wai Kei Vicky, 53, currently Chief Operating Officer (Property) at a Crocodile subsidiary, joins the Board as a non-executive director. • Background: More than two decades in real-estate asset management and retail expansion across Greater China, Japan and the US; formerly alternate director at Lai Sun Garments (International). • Remuneration: HK$50,000 monthly salary from the subsidiary and an annual director’s fee of HK$156,000 from the Company; contracts may be terminated with three months’ notice. • Shareholding: 4.20 million shares (4.05% of issued capital) and 23 Class B shares (15.33%) in Honorman Limited, Crocodile Garments’ 53.38% shareholder. • Governance links: Sister of Chair/CEO Vanessa Lam and non-executive director Lam Howard; niece of non-executive director Lam Suk Ying Diana and retiring executive director Matthew Lam.

Board composition post-AGM • Executive directors (2): Vanessa Lam (Chairman & CEO), Tsang Wing Pong. • Non-executive directors (4): Chow Bing Chiu; Lam Suk Ying, Diana; Lam Howard; Lam Wai Kei, Vicky. • Independent non-executive directors (3): Leung Shu Yin, William (Deputy Chairman); Fung Cheuk Nang, Clement; Woo King Hang.

Strategic context The leadership refresh introduces financial expertise to the board via CFO Tsang while strengthening family representation through Vicky Lam’s appointment. With the company’s controlling shareholder Honorman Limited retaining a 53.38% stake, governance continuity remains intact despite the departure of long-time executive Matthew Lam.
