Nam Cheong shareholders pass all resolutions at Apr, 30 2026 AGM

Nam Cheong Limited told investors that every resolution tabled at its Annual General Meeting on Apr, 30 2026 was approved by poll.

Shareholders adopted the FY2025 Directors’ Statement and audited accounts with 99.92% support. They also re-elected Datuk Lim Tong Lee (99.63% in favour) and Mr Tiong Chiong Hiiung (91.99% in favour) to the board.

The meeting sanctioned directors’ fees of 0.243 million Singapore dollars for FY2025 (99.72% approval) and re-appointed Foo Kon Tan LLP as external auditors (99.62% approval).

On capital management, investors granted a share buy-back mandate allowing the company to repurchase up to 10% of its issued shares, with 98.63% voting for the proposal. A separate mandate authorising directors to issue new shares of up to 50% of existing capital—of which up to 20% may be issued on a non-pro-rata basis—cleared with 91.74% support.

During a pre-meeting presentation, Chief Financial Officer Chong Chung Fen reported that restructured debt had fallen from RM492.2 million at March 2024 to RM285.0 million. Chief Executive Officer Leong Seng Keat said dividend declarations would be considered once debt obligations are further reduced and operating performance remains stable.

The AGM concluded at 11:00 a.m. with no further business.
