New City Development Group Limited will convene its 2026 annual general meeting on 30 June 2026 at 11:30 a.m. in Kwun Tong, Hong Kong. Shareholders recorded on the register are entitled to appoint proxies to participate and vote on 12 ordinary resolutions.
Key agenda items include:
1. Adoption of the audited consolidated financial statements, together with the directors’ and auditor’s reports, for the financial year ended 31 December 2025.
2. Re-election of seven board members—executive directors Luo Min and Luo Zhen, and independent non-executive directors Dr. Ouyang Qingru, Wong Pak Wing, Lam Chi Cheung Albert and Wong Kan Wai.
3. Authorisation for the board to determine directors’ remuneration.
4. Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor, with the board empowered to set its fees.
5. A share repurchase mandate permitting the board to buy back up to 10 percent of issued share capital.
6. An issuance mandate allowing the board to allot and deal with new shares up to 20 percent of issued share capital, along with an extension that enlarges this limit by the number of shares repurchased under the aforementioned mandate.
Proxy forms must be deposited with Union Registrars Limited no later than 48 hours before the meeting. Completion of a proxy does not preclude a shareholder from attending and voting in person. All resolutions will be decided by poll, with one vote per fully paid share of HK$0.20 par value.
