Artini Holdings Limited reported that its special general meeting held on 16 July 2026 approved, by poll and with 100 % of the 775.89 million votes cast in favour, an ordinary resolution to consolidate every five issued and unissued shares of HK$0.05 each into one consolidated share of HK$0.25. No votes were cast against the proposal, and no shareholders abstained.
Key implementation dates have been confirmed: • Share consolidation effective: 20 July 2026; trading in consolidated shares begins at 9:00 a.m. the same day. • Existing orange share certificates remain valid as title documents but will cease to be accepted for delivery, trading and settlement after 4:10 p.m. on 21 August 2026; replacement grey certificates will be issued for consolidated shares. • Board lot change: effective 3 August 2026, the trading unit on the Stock Exchange will shift from 20,000 existing shares to 5,000 consolidated shares.
Consequential adjustment under the Share Option Scheme reduces the scheme mandate limit from 110.40 million existing shares to 22.08 million consolidated shares. No options are currently outstanding or granted.
Union Registrars Limited acted as scrutineer for the vote count, and all directors attended the meeting in person or via teleconference.
