The board of Meituan-W (03690) has put forward a nomination for the election of Mr. Yao Jianhua as an independent non-executive director.

According to a company announcement, Mr. Yao was nominated by the board on June 4, 2026. His election is proposed to be put to a vote by shareholders via an ordinary resolution at the upcoming annual general meeting.

Should the resolution for his appointment be approved by shareholders, Mr. Yao's role as an independent non-executive director will take effect immediately upon the conclusion of the AGM.

This proposed appointment is intended to fill the position to be vacated by the current independent non-executive director, Mr. Gordon Orr. Mr. Orr has informed the board of his decision not to seek re-election at the AGM in order to dedicate more time to his other commitments.

The company also announced that following Mr. Orr's retirement, and contingent upon Mr. Yao's election, Mr. Yao will be appointed as a member and the chairman of the company's audit committee, effective from the end of the AGM.

Concurrently, Ms. Marjorie Yang will be appointed as a member of the company's corporate governance committee, also effective upon the conclusion of the annual general meeting.
