KPM Holding Reports Passing of INED Lau Muk Kan; Board Below GEM Governance Thresholds

Bulletin Express
09/17

KPM Holding announced that independent non-executive director (INED) Lau Muk Kan passed away on 10 September 2026. Lau had served on the board since 13 June 2018 and held three key roles: chair of the Nomination Committee, and member of both the Remuneration and Audit Committees.

Following his passing, the board now consists of four directors—two executive and two independent—leaving KPM Holding non-compliant with several GEM Listing Rules:

1. Rule 5.05(1): at least three INEDs are required. 2. Rule 5.28: the Audit Committee must have a minimum of three members. 3. Rule 5.36A: the Nomination Committee must be chaired by either the board chair or an INED.

Under Rules 5.06, 5.33 and 5.36C, the company has up to three months from 10 September 2026 to restore compliance. Management is actively seeking a suitable candidate and will issue further announcements in line with GEM requirements.

As of 17 September 2026, the board comprises Executive Directors Tan Thiam Kiat Kelvin (Chairman) and Lin Sin Huei, and INEDs Xiao Laiwen and Lock Kiu Yin.
