China United Venture Investment Limited (CU Venture Investment) has issued supplemental information to its 8 September 2026 AGM circular, confirming plans to re-appoint CLA Prism Hong Kong Limited as external auditor.
Key points:
• Auditor continuity: CLA Prism, already familiar with the Group’s financial affairs, will retire and, subject to shareholder approval at the 14 October 2026 AGM, be re-appointed to serve until the next AGM.
• Audit fee guidance: The Board—on Audit Committee recommendation—has agreed an estimated fee of approximately HK$1.00 million for the audit covering the financial year ending 31 March 2027. The figure was set after arm’s-length negotiations, benchmarking against historical fees, market rates, expected audit scope, timetable, business complexity and the auditor’s resource commitments.
• Assumptions underpinning the estimate: The quotation assumes no material changes in the Group’s operations, accounting policies or regulatory environment, and timely information support from management. Should material changes arise, the Company will provide further disclosure; otherwise, the final fee is not expected to deviate materially from the current estimate.
• Governance process: The proposal will be tabled for shareholder approval at the forthcoming AGM, alongside authorisation for the Board to finalise the auditor’s remuneration.
The supplemental announcement does not alter any other information contained in the original AGM circular.
