BIODLINK-B (01875) and the offeror, WUXI XDC (02268), have jointly announced that on January 14, 2026, the Board was informed by the offeror that Citigroup will make a voluntary conditional cash offer on behalf of the offeror to acquire all issued shares at a price of HK$4.00 per share (excluding those shares already owned or agreed to be acquired by the offeror and parties acting in concert), and to cancel all outstanding share options. The offer price represents a premium of approximately 99.00% over the undisturbed closing price of HK$2.01 per share on The Stock Exchange of Hong Kong. The company has applied to the Exchange for the resumption of trading of its shares, effective from 9:00 a.m. on January 15, 2026 (Hong Kong Time). The offeror intends to fund the total consideration payable under the offer using its internal resources. Assuming: (i) full acceptance of the share offer by all holders of offer shares (excluding 80,147,865 post-settlement non-acceptance shares and 2,609,334 trustee-held shares not yet granted); (ii) full exercise during the offer period of all vested but unexercised share options and 142,000 unvested share options expected to vest on March 1, 2026, with full acceptance of the share offer by all holders of these options; (iii) full acceptance of the option offer by all holders of 142,000 unvested share options expected to vest on March 1, 2027; (iv) no new shares are issued, and no new share options or restricted share awards are granted during the offer period; and (v) no other changes occur to the company's relevant securities during the offer period, the maximum consideration for the offer, based on an offer price of HK$4.00 per share and a cancellation price of HK$1.7665 per share option, would be approximately HK$2.79 billion. The offeror intends to maintain the listing of the shares on the Exchange following the completion of the offer.
