Renrui HR Schedules 10 June 2026 AGM to Approve FY2025 Results, HK$0.10 Final Dividend and Renew Share Mandates

Renrui Human Resources Technology Holdings Limited (Renrui HR) will hold its annual general meeting (AGM) on 10 June 2026 at 10:30 a.m. in Shanghai. Shareholders will vote on eight resolutions covering FY2025 results adoption, dividend distribution, board composition, auditor re-appointment, capital mandates and constitutional updates.

Key matters for shareholder approval are as follows:

1. FY2025 Results and Dividend • Audited consolidated financial statements for the year ended 31 December 2025 are slated for adoption. • A final dividend of HK$0.10 per share has been proposed.

2. Board Composition and Remuneration • Re-election of four directors:  - Executive Director: Ms. Zhang Jianmei  - Non-executive Director: Ms. Wang Xinjie  - Independent Non-executive Directors: Ms. Chan Mei Bo Mabel and Mr. Leung Ming Shu • The board will also seek authority to set director remuneration.

3. Auditor • Re-appointment of PricewaterhouseCoopers as external auditor for the next financial year, with the board authorised to fix its remuneration.

4. Share Capital Authorities • General mandate allowing the board to issue, allot or otherwise deal with additional shares—up to 20% of the company’s issued share capital, excluding treasury shares. • Separate mandate permitting repurchase of up to 10% of issued shares, excluding treasury shares. • Conditional extension of the issue mandate by the amount of shares repurchased, subject to the passing of the above two mandates.

5. Special Resolution • Adoption of the 2026 amended and restated memorandum and articles of association, along with related authorisations for the directors and company secretary.

Proxy forms must be submitted to Tricor Investor Services Limited by 10:30 a.m. on 8 June 2026. Completion of a proxy does not preclude shareholders from attending and voting in person at the AGM.
